Following the submission of a shareholder proposal requesting that FirstMerit Corporation allow proxy access for shareholders of 3% of shares for 3 years, the company determined to propose its own resolution that requested proxy access for shareholders of 5% of shares for 3 years and attempted to exclude the shareholder resolution. However, prior to filing its proxy statement, FirstMerit appeared to have a change of heart, and, though it did exclude the shareholder proposal, it proposed lower terms for its proxy access proposal that were substantially similar to those proposed by the shareholder resolution. As such, shareholders will vote on a management proposal to amend FirstMerit’s bylaws to allow shareholders of 3% of shares for 3 years the ability to nominate up to 20% of directors on management’s proxy. Additionally, shareholders at this year’s annual meeting will consider steps taken by the Company in response to last year’s say-on-pay resolution, which received ‘for’ votes from only approximately 41.4% of votes cast, and will have an opportunity to vote on a shareholder proposal seeking to curb provisions for accelerated vesting in the event of a change of control.
