Occidental Petroleum had what was arguably a difficult 2013 annual meeting. The company received just 62.8% support for their 2012 executive compensation program despite a rush of last-minute changes, and Ray Irani’s re-election was resoundingly rejected by shareholders—he managed to win the support of less than 25% of shares voted. Given last year’s result, the Company may be hoping that a post-Irani future will be viewed favorably at this year’s meeting. Removing Dr. Irani did not come without its costs, however; in total, Dr. Irani stands to receive an estimated $26 million through a settlement reached with the company, with a further $1.3 million in annual costs expected. Ultimately, this year shareholders will have to balance the astonishing cost of Dr. Irani’s departure with the company’s fairly conciliatory approach to executive compensation going forward, and consider whether the company’s ongoing governance and succession strategy sufficiently ensures that such jarring transitions will not happen again.
