Aviva plc’s board may be wishing it had scheduled the 2014 AGM for an earlier date. In late March the landscape for UK insurers shifted as a result of the government’s 2014 budget, which introduced changes that will allow retirees to avoid purchasing annuities, currently worth £12 billion annually to the industry. Aviva won’t be hit as hard as some competitors, as the affected individual annuities only comprise 6% of its business; however it will also be facing a looming investigation by the Financial Conduct Authority, announced on the heels of the new government budget, into the wider insurance industry’s operation of “closed funds” worth up to £150 billion. The company continues to restructure, and the board itself continues to be refreshed, in the wake of strategic and management changes instigated by shareholder opposition at the 2012 AGM; recent non-executive appointees have brought the percentage of women on the board to 18%, close to the Davies Review’s recommended 25% threshold. In addition, the company’s corporate social responsibility reporting, which has been subject to an advisory vote in recent years, will no longer be put to a vote following a switch to integrated reporting on related issues throughout the annual report; for more information on integrated reporting, see Glass Lewis’ special report.
